Welcome to Paramount+.

These Subscription Terms govern your use of the Paramount+ Service (collectively, the “Paramount+ Terms”).

The “Paramount+ Service” is a personalized subscription streaming media service that offers subscribers access to a collection of content for a recurring subscription fee through the Paramount+ website, applications, and/or other authorized platforms, devices, and/or access. The Paramount+ Service is made available by the entities listed in the Corporate Information and Contacts section (collectively referred to as “Paramount Streaming”).

Please note that we reserve the right to make changes to the Paramount+ Terms at any time to correct errors, fix broken links or references, improve clarity and/or understanding, add additional information about the service and/or your subscription, and/or in connection with new features or functionality or changes to the Service and to ensure the ongoing operability of our Service. Additionally, we may change the Paramount+ Terms to comply with legal or regulatory requirements and/or to address security or privacy needs. If we make changes, we will inform you by posting the revised terms in connection with the Paramount+ Service. You will be able not to accept these changes by canceling your subscription at any time. To the maximum extent permitted by law, your continued use of the Paramount+ Service following any changes will constitute your acceptance of such changes.

However, and unless otherwise provided by applicable law, for any changes to the Paramount+ Terms that may constitute a disadvantage for you or may negatively impact your legal rights or obligations in a significant or consequential way, we will provide at least 30 days prior notice by sending an email to the address you have registered for your account before those changes take effect. This notification will include a summary of the change, inform you of your right to object to such change within 30 days by cancelling your subscription and explain that you agree to be bound by any such changes to the Paramount+ Terms if you do not cancel your subscription or otherwise inform us of your refusal to accept such change to the Paramount+ Terms before the change goes into effect.

Additionally, if you subscribe to or access the Paramount+ Service through a third party distributor or service, certain terms set out below, including but not limited to billing, payment, cancellation or refund may not apply. Instead, third party provided subscriptions, applications, websites, and services are subject to the terms and conditions provided by such third party. Please see the Subscriptions Obtained Through Third Parties section for more information.

1. Paramount+ Account Information

You can access and edit specific details regarding your subscription to the Paramount+ Service, including information concerning your credit card or other available payment method (“Payment Method“), by visiting paramountplus.com/account. Note, if you obtained your subscription to the Paramount+ Service through a third party distributor that maintains your subscriber account, access to and editing of specific details regarding your subscription are subject to the third party distributor’s terms as further described herein.

2. Age Limitations

You must be 18 years of age, or of legal age and legally competent in the applicable jurisdiction in which you reside, to subscribe to the Paramount+ Service. Persons under 18 may access the Paramount+ Service only under the supervision of a parent or legal guardian and through the parent or legal guardian’s account. You acknowledge that by using the Paramount+ Service, you may be exposed to content that you find objectionable, and it is your sole responsibility to determine whether the content in the Paramount+ Service is suitable for you. If you are a parent or legal guardian of a child under the age of 18, by allowing your child to use the Paramount+ Service, you are subject to the Paramount+ Terms and you are responsible for your child’s activity on the Paramount+ Service. You acknowledge that users may be exposed to content that you find objectionable on the Paramount+ Service, and it is your responsibility to determine whether the content on the Paramount+ Service is suitable for you or, if applicable, any child using the Paramount+ Service pursuant to your supervision and control. Some content may not be suitable for children or people under the age of 18 (visit our support page on Content Ratings for more information).

4. Renewal of Subscription, Payment & Fees

Your subscription to the Paramount+ Service is for the agreed upon term (e.g., a monthly or annual term) and renews until canceled (except if you subscribed in Germany for the annual subscription term, in which case your subscription will terminate at the end of the annual subscription period). To the extent required by applicable law, we will provide notice at least 30 days prior to the end of your ongoing subscription by sending an email to the address you have registered for your account. This notice will inform you of your right to object to the renewal by cancelling your subscription before the end of your current subscription period; if you do not cancel your ongoing subscription before the end of your subscription period, you agree that your subscription will renew for the agreed upon term (e.g. a monthly term or annual term, except if you subscribed for an annual subscription in Germany). When you subscribe to the Paramount+ Service and provide a Payment Method, you authorize us to charge your Payment Method the subscription fee, along with any other taxes or transaction fees which may apply to your use of the Paramount+ Service. Your Payment Method will automatically be charged at the start of your subscription (or following any applicable Promotional Period as described below) and on an on-going basis the day immediately following the end of the prior subscription billing period (monthly or yearly, based on your subscription), unless you cancel your subscription. The amount charged to your Payment Method may vary from billing period to billing period due to changes in applicable taxes or transaction fees.

We reserve the right to change the subscription fee for the Paramount+ Service at any time. Reasons why we may increase our prices include, but are not limited to: (1) we improve or promote the Paramount+ Service; (2) the costs associated with operating our Paramount+ Service (e.g., content related costs, cost of technical provision and distribution of the Paramount+ Service; general administration costs; and/or taxes, among other costs) increase; (3) we launch new programs, content and services; (4) we change the way we structure our services; (5) we invest in improving our customer support; (6) in our estimation, the market conditions have changed; and/or (7) there was an obvious error related to the prices.

We provide our services and the Paramount+ Service on an ongoing basis and cannot foresee what may change in the future. This means that we may increase our prices for reasons other than those set out above. If we change our pricing, we will provide you with notice at least thirty (30) days prior to the price change taking effect to the email address on file for your account. If you do not wish to accept a change to the subscription fee, you may cancel your subscription as described in the Cancellation section.

If there are any discrepancies in billing, you hereby waive your right to dispute such discrepancies if you do not notify Paramount Streaming within sixty (60) days after they first appear on an account statement (provided such waiver is not prohibited by applicable law). YOU ARE RESPONSIBLE FOR ALL INTERNET ACCESS CHARGES. PLEASE CHECK WITH YOUR INTERNET PROVIDER FOR INFORMATION ON POSSIBLE INTERNET DATA USAGE CHARGES.

5. Cancellation

You can cancel your subscription to the Paramount+ Service at any time through your account settings at paramountplus.com/account and clicking “cancel subscription”. Note, if you obtained your subscription to the Paramount+ Service through a third party distributor, you must follow the instructions for cancellation provided by such third party. If you cancel your subscription, the cancellation will go into effect at the end of your current subscription period, as applicable. You will have continued access to the Paramount+ Service for the remainder of your paid subscription period, but YOU WILL NOT RECEIVE A REFUND OF ANY FEES ALREADY PAID. You must cancel your subscription before it renews according to the Renewal of Subscription, Payment & Fees section for the next month or year, as applicable, to avoid paying the subscription fees for the next subscription period. You are entitled to statutory warranty rights. Without prejudice to these statutory warranty rights, you acknowledge and agree that, cancellation of your subscription is your sole recourse if you have any dissatisfaction, issue or concern related to the Paramount+ Service, its content or features, including Fees, applicable taxes, or billing methods; the selection of content available to you through the Paramount+ Service; the Paramount+ Terms, or any changes thereto; or any other policies or practices that apply to the Paramount+ Service.

6. No Refunds

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW AND EXCEPT AS PROVIDED HEREIN, ALL FEES ARE NON-REFUNDABLE. As described in the Cancellation section above and without prejudice to the Right to Withdraw section, even if you cancel your subscription to the Paramount+ Service before the end of your active subscription period, as applicable, you will not receive a refund for any portion of the Fees for the remainder of that subscription period. In rare circumstances, we may elect to provide a credit, refund, discount, or other consideration to some or all of our subscribers (“Credits”) that is not otherwise required by law. The amount and form of such Credits, and the cases when we may provide them, are at our sole discretion. The provision of Credits in one instance does not entitle you to Credits in the future for similar instances, nor does it obligate us to provide Credits in the future, under any circumstance.

7. Right to Withdraw

Notwithstanding the foregoing, you have the right to withdraw from your subscription (without being required to justify your decision) within 14 days of subscribing, which you may exercise by providing a written statement clearly expressing your intent to withdraw, to be sent at support@paramountplus.com or to the postal address indicated in the Corporate Information section below (a sample withdrawal notice form is provided for your convenience at the end of the Paramount+ Terms– note that it is not mandatory to use such template form), or by cancelling your subscription through your account settings within 14 days of subscribing. However, if you start using the Paramount+ Service (i.e. by using your subscription to access the Paramount+ Service and initiate playback of any content made available as part of your subscription) within 14-days of subscribing, you lose your right to withdraw and any related right to a refund.

8. Unpaid Amounts

If your Payment Method is declined and we are unable to process your payment for your current subscription period: (1) you will remain liable for all such amounts, as well as any costs that Paramount Streaming incurs in collecting any amounts you fail to pay for access to the Paramount+ Service, including attorney and collections fees; (2) you authorize Paramount Streaming to re-attempt the charge that was declined using the Payment Method on your account (including any new or updated Payment Method you provide); and (3) we may suspend or terminate your subscription after we have provided written notice to you to communicate the suspension or termination. Changing your Payment Method information may affect the day of your subscription renewal.

9. Promotional Offers

9.1. Promo Codes

From time to time, promotional codes may be available, including those provided as part of a third party promotion. Promotional codes may be redeemed as described in the specifics of the promotion. Promotional codes can only be used once, cannot be redeemed for cash, and may not be combined with other offers, subject to certain restrictions as determined by Paramount Streaming in its sole discretion. If you received a promotional code through an offer by a third party, additional conditions may apply.

9.2. Promotional Periods

We may provide promotional offers that include access to the Paramount+ Service without cost to you or at a reduced cost for a limited period of time (“Promotional Periods”), to new users and in certain cases to former subscribers at its sole discretion, but is under no obligation to do so, and Promotional Periods may not be available at all times. If Paramount Streaming provides you with a Promotional Offer, you must provide valid Payment Method information to Paramount Streaming in order to use Paramount+ during the Promotional Period. Paramount Streaming may place a temporary charge in a nominal amount on your Payment Method to ensure the validity of the Payment Method, but the temporary charge will be removed promptly. Prior to the end of the Promotional Period, we will provide notice within the time periods indicated below by sending an email to the address you have registered for your account to remind you that a) if you do not cancel Paramount+ by the last day of your Promotional Period, you agree to begin your full-priced subscription for a monthly term or annual subscription term and b) if you do not agree, you have the right to cancel Paramount+ at any time before such date. If you do not cancel Paramount+ by the last day of your Promotional Period, you authorize Paramount Streaming to begin your full-priced subscription and automatically charge your Payment Method for your first paying monthly or annual subscription period, as applicable, at the end of your Promotional Period. IF YOUR PROMOTIONAL PERIOD IS 7 DAYS OR LESS, WE WILL NOTIFY YOU OF THE DATE THE PROMOTIONAL PERIOD ENDS IN THE ACKNOWLEDGMENT EMAIL NOTICE YOU RECEIVE AFTER SIGN UP. FOR PROMOTIONAL PERIODS GREATER THAN 7 DAYS, WE WILL NOTIFY YOU OF THE DATE THE PROMOTIONAL PERIOD ENDS IN BOTH THE ACKNOWLEDGMENT EMAIL NOTICE YOU RECEIVE AFTER SIGN UP AND AT LEAST 7 DAYS IN ADVANCE OF THE DATE THE PROMOTIONAL PERIOD ENDS. IF YOU WISH TO AVOID CHARGES TO YOUR PAYMENT METHOD, YOU MUST CANCEL BEFORE THE PROMOTIONAL PERIOD ENDS. You may only have one Promotional Period before you must begin paying for the Paramount+ Service. If you exceed this limit, we may suspend your use of the Paramount+ Service until you pay the subscription due for the additional Promotional Period, as provided in the written notice that we will send to you to communicate the suspension.

9.3. Eligibility

We reserve the right, in our absolute discretion, to determine your eligibility for any Promotional Offers. The specific terms of the applicable Promotional Offer will be stated in the marketing material describing the particular Promotional Offer.

10. Maximum Streams

The number of simultaneous streams you may use is subject to limitations by the subscription plan you have selected. We may change the maximum number of simultaneous streams that you may watch the Paramount+ Service on at the same time.

11. Temporary Download and Offline Viewing

Some content in the Paramount+ Service is available for temporary download and offline viewing on certain supported devices (“Offline Titles”) with certain subscription plans. Limitations apply, including restrictions on the number of Offline Titles per account, the maximum number of devices that can contain Offline Titles, the time period within which you will need to begin viewing Offline Titles and how long the Offline Titles will remain accessible. Offline Titles are not playable outside the Covered Territory. Visit paramountplus.com/support for more information.

12. Territory Restrictions

These Paramount+ Terms apply only: a) to subscriptions purchased in the Republic of Ireland, Italy, Germany, Switzerland, Austria, and/or France (the “Covered Territory“) and; b) by subscribers who are physically residing in the Covered Territory at start of the subscription. Your billing information will be used to establish your country of residence and used along with your IP address (or other device-based technologies or methods) for determining whether you are in an area where we are authorized to provide you with access to the Paramount+ Service. The Paramount+ Service may only be used in the Covered Territory as well as in any other country that is a member of the European Economic Area (EEA) visited by an active subscriber from the Covered Territory. You may only use the Paramount+ Service in the Covered Territory for your own personal, non-commercial purposes. Certain features and content may only be available to users in certain locations, during certain periods, and on certain devices, and the availability of certain features and content may change over time. The Paramount+ Service may not be available in every country or territory within the Covered Territory.

Please check paramountplus.com/support for more information about current limitations. Any geographic restrictions will be based on your subscription’s Covered Territory and the geographic location where you are attempting to access the Paramount+ Service from using various technologies and methods to determine your location that may be provided by third party vendors. If we are unable to determine your location, we will not be able to provide you with access to certain features or content within the Paramount+ Service. We will not be liable to you for any blackouts, location-based limitations, device-based limitations, content-viewing windows, availability of content, or other restrictions or limitations in connection with the Paramount+ Service that are outside of our control.

13. Quality of Service

The quality of the display of the streaming content may vary from device to device, and may be affected by a variety of factors, including your location and the speed of your Internet connection. Certain content provided via live feeds are subject to a brief delay, and may be edited or paused on occasion. The time it takes to begin watching content will also vary based on a number of factors, including your location, available bandwidth at the time and the configuration of your device. Paramount Streaming makes no representations or warranties about the quality of your watching experience on your device.

14. Updates and Changes to the Paramount+ Service

Paramount Streaming reserves the right to test and/or implement updates and changes to the Paramount+ Service, including but not limited to its features, plans, promotions, and pricing with some or all of our users at any time without additional costs to you. If the changes to the Paramount+ Service negatively impact your access, use of the Paramount+ Services, effect a change in price, change of quality or significant change of Paramount+ Service functionalities and this change is not only minor, we will provide notice at least 30 days prior to the change takes effect by sending an email to the address you have registered for your account before those changes take effect. You agree to be bound by any such changes to the Paramount+ Service if you do not cancel your subscription or otherwise inform us of your refusal to accept such change to the Paramount+ Terms before the change goes into effect. If any such updates or changes include additional terms or conditions, they will be provided prior to making such change or update available to you and, upon your acceptance, shall govern your use of such updates or changes if you choose to participate in the test or otherwise use the Paramount+ Service with such updates or changes.

15. Transfer of Rights

Subject to applicable law, you do not have the right to transfer this agreement or your rights and obligations therein to any third party without the prior written confirmation of Paramount Streaming. Paramount Streaming has the right at its sole discretion to transfer this agreement, including all rights and obligations therein to a third party.

16. Paramount+ Service Related Communications

We may send you information relating to your account and the Paramount+ Service (including information about content available through the Paramount+ Service) in electronic form only (for example, via email to the email address you provided during registration) in connection with providing you the Paramount+ Service. These service related communications are not marketing communications and you will still receive these service related communications even if you have not opted-in to receiving marketing communications or have otherwise unsubscribed to marketing communications. If you do not want to receive these types of emails, you may cancel Paramount+ Service at any time as provided in the Cancellation section.

17. Subscriptions Obtained Through Third Parties

If you subscribe to the Paramount+ Service through a third party distributor or service, you will be billed by that third party in accordance with the third party’s billing and subscription terms. The Paramount+ Terms related to the purchasing of a subscription, billing, cancellation, and refunds shall not apply to subscriptions purchased through a third party. Third party provided subscriptions, applications, websites, and services are subject to the terms and conditions provided by such third party. Paramount Streaming is not responsible for products and services provided by such third party. To cancel a subscription purchased through a third party, you must follow the cancellation instructions provided by such third party.

18. Dispute Resolution

These Paramount+ Terms and any disputes or claims arising out of or in connection with these Paramount+ Terms are governed by and construed in accordance with the laws of Germany, but you also have the rights and protections of the mandatory consumer protection laws and regulations in your country of residence.

Disputes in connection with these Paramount+ Terms may in the first instance be resolved by agreement between the parties. You may contact us at the email or mailing address provided below at any time with any concerns or complaints regarding the Paramount+ Service. With respect to any disputes or claims that cannot be resolved by agreement between the parties, you may elect to turn to the judicial or extrajudicial remedies available in your country of residence (including filing suit against us).

Additionally, you may also choose extrajudicial settlement of disputes in accordance with Regulation (EU) 524/2013. More details can be found at http://ec.europa.eu/consumers/odr.

We are required by law to provide an electronic link to the ODR Platform which is available at http://ec.europa.eu/consumers/odr. However, we will not participate in an alternative dispute procedure before a consumer arbitration board and do not have a legal obligation to do so.

19. Registration and Access Controls

If we request registration information from you to set up a user account, you must provide us with accurate and complete information and must update the information when it changes. You may not access any age-restricted Paramount+ Service unless you are above the required age.

You are responsible for maintaining the confidentiality of your user account login names and passwords, and must not permit use of your account by anyone other than members of your household. You accept responsibility for all activities, charges, and damages that occur under your account, including use of your account by other members of your household, and unauthorized use of your account. If you have reason to believe that someone is using your account without your permission, you should contact us immediately. We are not responsible for any loss or damage resulting from unauthorized use.

20. Intellectual Property; License

The audio and video materials, photographs, text, graphics, logos, layouts, designs, interfaces, software, data and other content associated with the Paramount+ Service (“Content”) are protected by intellectual property and other laws in the U.S. and in other countries. You must comply with applicable copyright, trademark or other laws, legal notices or restrictions. You shall not remove or alter any copyright, trademark, or other legal notices marked on the Content. As between you and us, we will retain all right, title, and interest in and to the Paramount+ Service and the Content. No transfer of ownership to any portion of the Content shall be made as a result of any access you are granted. Except as specifically provided below, we reserve all rights to the Paramount+ Service and Content.

You are only permitted to access and view the Content for personal, non-commercial purposes in accordance with these Paramount+ Terms, and may not build a business or other enterprise utilizing any of the Content, whether for profit or not. Except as expressly authorized by us in writing, you may not either directly or through the use of any software, device, internet site, web-based service or other means download, stream capture, store in a database, archive or otherwise copy any part of the Paramount+ Service or Content; upload, sell, rent, lease, lend, broadcast, transmit or otherwise disseminate, distribute, display or perform any part of the Paramount+ Service or Content; license or sublicense any part of the Paramount+ Service or Content; or in any way exploit any part of the Paramount+ Service or Content. In addition, except as expressly authorized by us in writing, you are strictly prohibited from modifying Content; creating, distributing or advertising an index of any significant portion of the Content; or otherwise creating derivative works or materials that otherwise are derived from or based in any way on the Content, including mash-ups and similar videos, montages, translations, desktop themes, fonts, icons, wallpaper, greeting cards, and merchandise. This prohibition from creating derivative works is applicable even if you intend to give away the derivative material free of charge.

Without limiting the foregoing, you may not modify, interfere with, enhance, remove, or otherwise alter in any way any portion of the Paramount+ video player (the “Video Player”); any of the Video Player’s underlying technology; or any digital rights management mechanism, device, or other content protection or access control measure incorporated into the Video Player. This restriction includes, without limitation, disabling, modifying, reverse engineering, interfering with or otherwise circumventing the Video Player in any manner that enables users to view Content without: (i) visibly displaying both the Video Player and all surrounding elements (including the graphical user interface, any advertising, copyright notices, and trademarks) of the webpage where the Video Player is located; and (ii) having full access to all functionality of the Video Player, including, without limitation, all video quality and display functionality and all interactive, elective or click-through advertising functionality.

21. Acceptable Use

Without limiting any other provision in these Paramount+ Terms, you agree not to do the following, or assist others to do the following:

• Access the Paramount+ Service using any interface other than ours.

• Maintain any link to the Paramount+ Service that we permissibly as per these terms or applicable law ask you to remove, in our sole discretion.

• Frame the Paramount+ Service or Content, make the Paramount+ Service or Content available via in-line links, otherwise display the Paramount+ Service or Content in connection with an unauthorized logo or mark, or do anything that could falsely suggest a relationship between us or our affiliates and any third party or potentially deprive us of revenue (including, without limitation, revenue from advertising, branding, or promotional activities).

• Threaten, defame, stalk, abuse, or harass other persons or engage in illegal activities, or encourage conduct that would constitute a criminal offense or give rise to civil liability.

• Transmit any material that is inappropriate, profane, vulgar, offensive, false, disparaging, defamatory, obscene, illegal, sexually explicit, racist, that promotes violence, racial hatred, or terrorism, or that we deem, in our sole discretion, to be otherwise objectionable.

• Violate any person’s or entity’s legal rights (including, without limitation, intellectual property, privacy, and publicity rights), transmit material that violates or circumvents such rights, or remove or alter intellectual property or other legal notices.

• Transmit files that contain viruses, spyware, adware, or other harmful code.

• Advertise or promote goods or services without our permission (including, without limitation, by sending unsolicited email).

• Interfere with others using the Paramount+ Service or otherwise disrupt the Paramount+ Service.

• Disassemble, decompile or otherwise reverse engineer any software or other technology included in the Content or used to provide the Paramount+ Service.

• Transmit, collect, or access personally identifiable information about other users without our consent and the consent of those users.

• Engage in unauthorized spidering, “scraping,” data mining or harvesting of Content, or use any other unauthorized automated means to gather data from or about the Paramount+ Service.

• Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of materials you transmit.

• Remove, avoid, interfere with, or otherwise circumvent any access control measures for the Paramount+ Service or Content, including password-protected areas and geo-filtering mechanisms, or any digital rights management measures used in connection with Content.

• Access any portion of the Paramount+ Service that we have not authorized you to access (including password-protected areas), link to password-protected areas, attempt to access or use another user’s account or information, or allow anyone else to use your account or access credentials.

• If you violate this Acceptable Use section, we may terminate your access to the Paramount+ Service without notice, and take any other actions or seek any remedies permitted by law.

22. Unsolicited Submissions

We do not accept unsolicited submissions, including scripts, story lines, articles, fan fiction, characters, drawings, suggestions, ideas or concepts. It is our policy to delete any such submission without reading it. Any similarity between an unsolicited submission and any elements in any Paramount+ Service creative work would be purely coincidental.
